These Terms of Service ("Terms") constitute a legally binding agreement between you and Sahodaya International Company ("Impactex," "we," "us," or "our") governing your access to and use of the Impactex platform, website, and services. By accessing or using Impactex, you agree to these Terms in full.
1. Acceptance of Terms
By creating an account or using any part of the Impactex platform, you confirm that you are at least 18 years old, have the authority to enter into this agreement, and have read and agree to these Terms and our Privacy Policy.
If you are using Impactex on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Impactex provides a platform for creating, managing, signing, and sharing export trade documentation including Proforma Invoices, Commercial Invoices, Packing Lists, Certificates of Origin, and other trade documents. The Services include AI-assisted features — a chatbot, an AI terms enhancer/translator, and an HS code validation tool — which are described further, including their limitations, in Section 7 (Disclaimer of Warranties).
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
3. User Accounts
You must create an account to access most features of Impactex. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring your account information is accurate and up to date
We reserve the right to terminate accounts that violate these Terms, are inactive for extended periods, or that we believe pose a risk to the platform or other users.
4. Acceptable Use
You agree to use Impactex only for lawful purposes. You must not:
- Use the platform for any fraudulent or illegal purpose
- Create or upload false or misleading trade documents
- Use the platform to create, send, or facilitate documentation for a transaction involving a party, vessel, destination, or goods restricted under applicable sanctions or export control law (see Section 8, Export Control & Trade Compliance)
- Attempt to gain unauthorized access to any part of the platform or its related systems
- Transmit viruses, malware, or other harmful code
- Scrape, crawl, or systematically extract data from the platform without written permission
- Resell or sublicense access to Impactex without our written consent
- Violate any applicable laws, regulations, or third-party rights
5. Intellectual Property
All content, features, and functionality of the Impactex platform — including but not limited to the software, design, logos, text, and graphics — are owned by Sahodaya International Company and are protected by applicable intellectual property laws.
You retain ownership of the documents and data you create using our platform. By using Impactex, you grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing our Services to you.
Where you use an AI-assisted feature (the chatbot, AI terms enhancer, translator, or HS code validation tool), this license also permits us to transmit the relevant text or images to our third-party AI provider solely to generate the output you requested. We do not use your documents, contacts, or other business content to train our own models, and we do not grant our AI provider any right to use your content beyond generating that response for you — see our Privacy Policy for details of how this data is handled.
6. Subscription, Billing & Payments
Impactex offers both free and paid subscription plans, billed on a recurring monthly or annual basis as selected at checkout.
Pricing & Taxes: Prices shown on our Pricing page are quoted in USD for reference. Sahodaya International Company is not currently registered for Goods and Services Tax (GST) in India. If this changes, applicable GST (or other transaction tax) will be displayed separately at checkout and reflected on your invoice; until then, the price shown is the total amount payable.
Currency & Payment Processing: Payments are processed by Razorpay Software Private Limited ("Razorpay"), a payment aggregator regulated by the Reserve Bank of India (RBI). If you are ultimately charged in a currency other than the currency displayed — for example because Razorpay converts your payment to INR or another settlement currency — the exact amount charged depends on the exchange rate Razorpay applies at the time of the transaction and may differ slightly from the displayed price. Impactex does not set or control this exchange rate. Card and other payment instrument details are captured and tokenized directly by Razorpay in line with RBI's card-on-file tokenization framework; Impactex never receives, stores, or has access to your full card number, CVV, or UPI PIN.
Not an Escrow or Payment Intermediary: Our billing relationship with you is limited to your own subscription fees. We do not hold, transmit, or act as an intermediary, escrow agent, or collection agent for payments between you and your buyers, sellers, or other counterparties in the trade transactions you document using the platform. Any payment milestones or amounts you record against an Order inside Impactex are for your own record-keeping only and never pass through our systems or bank accounts.
Free Trial: Paid plans may be offered with a free trial (currently 14 days) that does not require a payment card to start. Because no payment method is collected at signup, your trial will never silently convert into a paid, billed subscription — at the end of the trial your account automatically reverts to the Free plan's limits and features unless you actively add payment details and subscribe.
Auto-Renewal: Paid subscriptions you activate renew automatically at the end of each billing cycle until cancelled. You can cancel auto-renewal at any time from your account settings or by contacting us; cancellation takes effect at the end of the current billing period and you keep access to paid features until then. Where a recurring charge is collected via e-mandate/auto-debit, advance notice will be sent before each renewal charge in line with RBI's e-mandate framework.
Refunds & Cancellation: Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.
Failed Payments: If a recurring payment fails, your account may be downgraded to the Free plan or your paid features suspended until payment is resolved. We will attempt to notify you by email before or promptly after any such change.
Price Changes: We reserve the right to change pricing at any time. If we change prices for your current subscription, we will notify you at least 30 days in advance. Continued use after a price change takes effect constitutes your acceptance of the new pricing.
7. Disclaimer of Warranties
THE SERVICES, INCLUDING ALL AI-ASSISTED FEATURES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- the Services will be uninterrupted, timely, secure, or error-free;
- any trade document, template, or field generated, checked, or suggested by the platform is complete, accurate, or legally compliant for your specific transaction or destination country;
- the AI-assisted features (the chatbot, the AI terms enhancer/translator, and the HS code validation tool) will produce correct, complete, or reliable output. These features use a third-party generative AI model, can make mistakes, and are provided for drafting assistance and guidance only — they are not legal, customs, tax, or trade-compliance advice, and are not a substitute for review by a licensed customs broker, freight forwarder, or lawyer;
- HS code suggestions match the classification a customs authority will ultimately apply. You are responsible for independently verifying HS codes, duty rates, and documentation requirements with the relevant customs authority before shipment.
You are solely responsible for reviewing, verifying, and taking legal responsibility for the content and accuracy of every document you create, send, or rely on using Impactex.
8. Export Control & Trade Compliance
Impactex is a documentation and workflow tool for export/import trade paperwork. It does not perform, and should not be relied upon for, screening of buyers, sellers, consignees, banks, vessels, or destination countries against sanctions, denied-party, or restricted-party lists — including, without limitation, India's DGFT Denied Entity List and Specific Trade Restrictions, the U.S. Treasury OFAC Specially Designated Nationals (SDN) and Consolidated Sanctions Lists, the U.S. Commerce Department Entity/Denied Persons Lists, the EU Consolidated Financial Sanctions List, UK OFSI sanctions lists, and United Nations Security Council sanctions lists.
You are solely responsible for:
- independently screening every counterparty, vessel, and destination involved in a transaction against all sanctions and denied-party lists applicable to you, your business, and the jurisdictions involved;
- determining and complying with all export control, import control, customs, sanctions, and trade compliance laws of India and every other country connected to your transaction, including origin, transit, and destination countries;
- obtaining any export or import licenses, permits, or authorizations required for your goods, technology, or transaction.
We do not guarantee, and expressly disclaim, that use of Impactex — including its HS code validation, AI terms enhancer, or chatbot — satisfies your export control, sanctions, or trade compliance obligations under any country's law.
You must not use Impactex to create, send, or facilitate documentation for any transaction that you know or have reason to believe involves a sanctioned party, a prohibited destination, or goods or technology restricted from export or import under applicable law. We reserve the right to suspend or terminate any account we reasonably believe is being used for such a transaction, and to report suspected violations to the relevant authorities where we are legally required or permitted to do so.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Impactex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total cumulative liability arising from or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us in the 12 months prior to the claim or (b) INR 5,000.
Impactex is not responsible for export compliance violations, customs issues, sanctions violations, trade document errors, or any consequence of relying on AI-generated or AI-assisted content, resulting from your use of the platform. You are solely responsible for the accuracy, legality, and compliance of every trade document and decision you make using the Services — see Sections 7 (Disclaimer of Warranties) and 8 (Export Control & Trade Compliance) above.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sahodaya International Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) the trade documents, HS code classifications, or other content you create, send, or rely on using the Services, including any resulting customs, tax, sanctions, or export control claim, penalty, or dispute.
11. Termination
You may terminate your account at any time by contacting us or through the account settings in the platform. We may terminate or suspend your account at any time, with or without cause, with or without notice.
Upon termination, your right to use the Services ceases immediately. We may retain your data for a reasonable period in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive.
12. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, epidemic or pandemic, government action or restriction, labor disputes, internet or telecommunications failures, power outages, or failures or outages of third-party infrastructure or service providers we rely on (including our cloud hosting, storage, authentication, payment, or AI providers).
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Impactex shall be subject to the exclusive jurisdiction of the courts located in Eluru, Andhra Pradesh, India.
Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.
14. Assignment
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms bind and benefit each party's permitted successors and assigns.
15. Notices
We may give you notice under these Terms by posting on the Services, by email to the address associated with your account, or by other reasonable means. Notices to us must be sent in writing to the contact details in Section 20 (Contact Us) below, or to our registered office address. Email notices are deemed received on the date sent, provided no delivery failure notice is received; postal notices are deemed received 5 business days after mailing.
16. Severability
If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and any Data Processing Agreement executed between you and us, constitute the entire agreement between you and Impactex regarding the Services, and supersede any prior or contemporaneous agreements, representations, or understandings, whether written or oral.
18. Enterprise Customers & Data Processing Agreement
If your business requires a Data Processing Agreement (DPA) under the DPDPA 2023, GDPR, or other applicable data protection law to govern our processing of personal data on your behalf, a standard DPA is available on request — contact us at the details in Section 20. Where a signed DPA is in place between you and us, its terms govern our processing of personal data for which you act as data fiduciary/controller and we act as data processor, and prevail over these Terms and our Privacy Policy to the extent of any conflict on that subject.
19. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of significant changes by email or through a notice on our platform. The updated Terms will be effective upon posting. Your continued use of Impactex after any changes constitutes your acceptance of the revised Terms.

Our Grievance Officer, appointed in accordance with the Consumer Protection (E-Commerce) Rules 2020 and the Digital Personal Data Protection Act 2023, is named below.
